About Our Client

Our client is seeking a highly capable and detail‑oriented In‑House Lawyer / Legal Counsel with strong experience in IPO projects and capital markets. The successful candidate will be responsible for providing comprehensive legal support throughout the IPO process, ensuring compliance with regulatory requirements, managing external counsel, and advising senior management on legal risks and strategic decisions.

Job Description

Lead and manage legal workstreams related to the company's proposed IPO.
Review and draft IPO-related documentation, including prospectuses, due diligence questionnaires, and disclosure materials.
Ensure compliance with listing rules, securities laws, and regulatory requirements.
Provide practical legal advice to business units and senior leadership on corporate governance, legal risks, and regulatory obligations.
Support board and shareholder matters, including resolutions, minutes, and corporate filings.
Establish and maintain internal compliance policies related to listing rules, disclosure obligations, and corporate governance.
Identify legal risks and propose mitigation strategies aligned with business objectives.
Monitor regulatory developments affecting the business and provide timely updates to management.

The Successful Applicant

qualified lawyer of HK with 3+ PQE, Senior candidate will be considered as senior counsel
Strong background in IPO projects, capital markets, or corporate finance - from a top-tier law firm
Excellent command of written and spoken English and Chinese (Cantonese/Mandarin).
Strong drafting, analytical, and negotiation skills.
Ability to manage multiple workstreams under tight deadlines.
High level of integrity, professionalism, and sound judgment.
Strong stakeholder management and communication skills.
