Role Purpose:

As a Company Secretarial Officer, you will assist in performing a full range of company secretarial duties and in ensuring the ASW Group companies, including a subsidiary listed on the Indonesia Stock Exchange, are compliant with statutory requirements.

A typical day in this Role:

Organizing board and shareholders’ meetings of Group companies
Preparing resolutions and meeting papers ; reviewing draft resolutions and supporting papers prepared by business units
Obtaining internal clearance for draft resolutions and other documents before execution
Coordinating with in-house counsels;
Assisting in the execution of corporate activities
Supporting the establishment of new entities in connection with projects; structuring and re-structuring activity
Handling ad hoc assignments

Success will depend on:

You are a member of HKCGI (Graduate / Associate) with at least 6 years relevant company secretarial experience (2 - 3 years' experience with listed companies preferred. Having good knowledge of Hong Kong Listing Rules.
Having hands-on experience in preparing annual reports and sustainability reports, announcements of quarterly, interim, and annual results, and holding board and shareholder meetings of listed companies
Excellent command of written and spoken English and Chinese
You are good team player with positive attitude, well-organized, meticulous and detail-minded
Ability to work independently and little supervision
