Corporate Governance and Secretariat function comprises qualified lawyer, chartered company secretaries and executives of high caliber. We work as a team, with a mission to provide comprehensive and professional company secretarial services and advice to the Board and Board Committees as well as Senior Management of Hang Seng Group, with reference to best-in-class corporate governance practices, to facilitate the Bank in achieving long-term and sustainable success.

As a member of our Function, you will have the opportunity to leverage your professional company secretarial knowledge and gain valuable exposure and insights into the Bank’s strategic, business and operational aspects. We are currently seeking a high caliber professional to join our department as Senior Manager, Corporate Governance.

Principal responsibilities

Support the Head of Business and Subsidiaries Governance in providing proactive and effective company secretarial support to subsidiaries of the Hang Seng Group.
Preparing and researching briefing materials for the Head of Business and Subsidiaries Governance to provide advice, guidance and support to the Board of Directors and senior management of the subsidiaries of the Hang Seng Group on corporate governance and statutory, regulatory and governmental requirements as well as best practice requirements and standards.
Support the Head of Business and Subsidiaries Governance to implement and monitor the Bank’s corporate governance related frameworks, policies and procedures to ensure their continuing fitness for purpose and effectiveness.
Lead and manage risk and internal control related compliance matters for the Corporate Governance & Secretariat function.
Lead and manage Annual General Meetings and shareholders’ governance and engagement.
Manage the subsidiaries’ board and committee meeting processes, working with the management and relevant departments and functions to set agenda, preparation and delivery of board and committee papers to ensure timely publication of high-quality materials and prepare meeting minutes and resolutions.
Support the Head of Business and Subsidiaries Governance to manage the governance and appointment of Board and Committee membership for subsidiaries of the Hang Seng Group.
Coordinate the timely submission of statutory filings with relevant regulatory bodies for the subsidiaries.
Contribute to the development and implementation of strategic and operational objectives of the HSBC Global and Regional Corporate Governance & Secretariat function.
Keep abreast of the changes in regulations/laws/Listing Rules insofar as the same relate to company secretarial and corporate governance and devise action plans for compliance.

Requirements

University degree in Business Management, Company Secretaries, Law or other relevant subjects.
Associate member of The Hong Kong Institute of Chartered Secretaries would be preferred.
Post-qualification experience in the company secretarial field.
Experience in reputable listed companies in corporate governance and/or compliance would be preferred.
Previous working experience from a bank is an advantage but not mandatory.
Strong inter-personal communication and analytical skills with fluency in both English and Chinese.
High level of ownership and servicing mindset with dedication to delivering exceptional service quality and strong capability to think out of the box.
Good knowledge of computer applications, including MS Excel and Word.
